GoodTech Software License Agreement

This GoodTech Software License Agreement ("Agreement") is a legal agreement between you ("Licensee") and GoodTech Systems ("GoodTech") for the software product(s) accompanying this Agreement, including any associated media, printed materials, and online or electronic documentation (the "Software"). By downloading, installing, evaluating, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Software.

1. Grant of License

Subject to payment of the applicable license fee and compliance with this Agreement, GoodTech grants you a non-exclusive, non-transferable license to install and use the Software according to the license type purchased, as described on our Licensing page (Single-Copy, Multi-Copy, Site, or Enterprise License). Unless otherwise stated at the time of purchase, licenses are perpetual for the version of the Software licensed.

2. Evaluation Copies

GoodTech may make evaluation versions of the Software available free of charge for a limited period (typically 30 days) and with reduced capacity (typically limited to 2 concurrent connections). Evaluation copies are provided for the sole purpose of evaluating the Software prior to purchase and may not be used in a production environment or for any commercial purpose beyond evaluation.

3. Restrictions

You may not, and may not permit others to:

• reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law;
• rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Software or this Agreement to any third party without GoodTech's prior written consent;
• remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.

4. Ownership

The Software is licensed, not sold. GoodTech and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement grants you only the right to use the Software as set out above and does not transfer any ownership rights to you.

5. Updates and Support

Unless otherwise stated at the time of purchase, a purchased license includes one year of free software updates from the date of purchase and 30 days of unlimited email technical support. Continued annual support beyond the initial period is available at a rate of 20% of the then-current purchase price, as described on our Buy Online page.

6. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GOODTECH DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOODTECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GOODTECH'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE GIVING RISE TO THE CLAIM.

8. Export Compliance

Certain GoodTech products contain encryption technology and may be subject to U.S. export control laws. Your use of the Software is subject to our Export Control Notice, which is incorporated into this Agreement by reference.

9. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from GoodTech if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law

This Agreement is governed by the laws of the State of California, USA, without regard to its conflict of law principles.
